

This Terms of Service is a binding contract executed between Cozmic (hereinafter referred to as the "Company", "We", "Us", or "Our") and the educational group, college, or university licensing the platform (the "Customer").
Authorized individual users (including students, parents, faculty, and administrative staff) accessing the services under the Customer's portal license do so subject to these terms and the Customer's compliance with the Master Agreement.
Cozmic.in is a cloud-based Software-as-a-Service (SaaS) Enterprise Resource Planning (ERP) platform designed for higher education institutions in India. The platform is offered modularly and includes:
The Customer is responsible for administrative credential provisioning and security control mapping. The Customer and its authorized users agree:

The Customer and its authorized users shall not:
All ownership rights, titles, and interests in the Cozmic platform, including software code, UI designs, system architectures, database schemas, documentation, trade secrets, logos, and underlying artificial intelligence algorithms (such as the facial recognition models and automated grade compilers) remain the exclusive property of Cozmic. No intellectual property is transferred under these terms except for the limited SaaS license granted herein.
The Customer retains complete and exclusive ownership of all student personal records, parent files, grading logs, academic sheets, hostel details, and financial transactions uploaded onto the platform (collectively, the "Customer Data").
The Customer grants Cozmic a non-exclusive, royalty-free, royalty-paid, worldwide license to host, cache, copy, transmit, and display Customer Data solely for the purpose of providing and maintaining the SaaS services, generating analytical reports for the Customer, and complying with statutory security audits.
Each party agrees to safeguard the other party’s proprietary and non-public data (including business agreements, pricing, source code, and student PII) with a reasonable standard of care.
Cozmic executes security measures conforming to Section 43A of the IT Act, 2000, and is actively working towards SOC 2 Type II audits and ISO 27001 compliance standards to ensure maximum protection of all Customer databases.
EXCEPT AS EXPLICITLY STATED IN THE CUSTOMER'S SERVICE LEVEL AGREEMENT (SLA), THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. COZMIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.
AI AND AUTOMATION DISCLAIMER: COZMIC'S STUB SYSTEMS EMPLOY ARTIFICIAL INTELLIGENCE MODELS (E.G., STELLAR BIOMETRIC FACE LOGGING AND AUTOMATED QUIZ/GRADING GENERATION). THESE AI SYSTEMS ARE ADMINISTRATIVE ASSISTANCE UTILITIES. THE ACCURACY OF FACE RECOGNITION IS SUBJECT TO PHYSICAL HARDWARE AND LIGHTING CONDITIONS. THE CUSTOMER MUST DIRECTLY REVIEW AND MODERATE ALL AI-MARKED ATTENDANCE, AUTOMATED GRADES, AND SCHEDULING DISPATCHES FOR FINAL LEGAL VALIDITY. COZMIC IS NOT LIABLE FOR OPERATIONAL CORRECTIONS ARISING FROM SYSTEM PREDICTIONS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COZMIC BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF REVENUES, SAVINGS, AND DATABASE CORRUPTION) ARISING OUT OF THE USE OF THE SAAS SYSTEM.
THE MAXIMUM AGGREGATE LIABILITY OF COZMIC FOR ANY LEGAL CLAIMS FILED UNDER CONTRACT, TORT, OR STATUTORY INDEMNITY SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY THE CUSTOMER TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
These terms remain effective until the expiration of the subscription license or mutual termination. Either party may terminate for convenience with a 90-day prior written notice, or immediately for material breach if the breaching party fails to cure the breach within 30 days of receiving written notification.
Post-Termination Data Access: Upon contract termination, the Customer has 30 days to extract its SQL database schemas and files from Cozmic servers. After this period, Cozmic shall securely purge, overwrite, or anonymize all Customer databases in compliance with retention policies.
We warrant a realistic **99.5% service availability** (uptime) for the core cloud ERP platform, calculated monthly.
This uptime excludes scheduled maintenance windows (conducted during off-peak campus hours with a 48-hour advance notice) and events of force majeure (such as national cloud infrastructure failures, fiber cuts, or regulatory internet shutdowns). In the event of system availability dips below 99.5%, the Customer is eligible for service credits in the form of subscription extensions, as detailed in the master service contract.
This Master SaaS Agreement and all dispute settlements arising from it shall be governed by and interpreted under the laws of the Republic of India.
Any legal claims, mediation, or court litigation arising from these Terms of Service shall be subject to the exclusive jurisdiction of the competent civil courts located in **Hyderabad, Telangana, India**.
